Terms and Conditions for Use of The HR Vault

1. Agreement to Terms

By accessing or purchasing documents from HR On Call Ltd, you agree to be bound by these terms and conditions. If you do not agree with any part of these terms, you should not use the Service.

2. Documents and Resources Included in the Service

The HR Vault includes templates, guides, educational resources, toolkits and documents for use by HR professionals, businesses and consultants in the UK. These documents are provided in .docx and .dotx format and are compatible with various platforms including Microsoft Word and Google Docs.

Educational resources, toolkits and guides are provided for learning and reference purposes and are subject to the same licence terms as document templates.

3. Licence of Use

Upon purchasing access to The HR Vault, you are granted a non-exclusive, non-transferable licence to use the documents and resources for your business or personal HR consultancy purposes. The documents and resources may not be resold, shared or redistributed without permission.

You may modify the documents to suit your specific business needs but must not remove any copyright notices or claim ownership of the documents or resources.

4. No Legal Advice Provided

The documents and resources available in The HR Vault are for informational purposes only. They are intended as general templates and educational materials to assist in HR functions and are not a substitute for legal advice.

If you require legal advice or have concerns about the legal implications of any document or policy, you should seek guidance from a qualified solicitor or legal professional. HR On Call Ltd can provide advice at an additional cost.

5. Document Accuracy and Updates

While every effort is made to ensure that the documents and resources are accurate and compliant with current UK employment law, laws and regulations are subject to change. HR On Call Ltd cannot guarantee that the documents will always be up to date.

You are responsible for ensuring that the documents are updated and compliant with the latest legal requirements for your business.

6. Lite Subscription

Lite subscribers are granted access to The HR Vault with the following terms:

  • 10 document downloads per calendar month
  • Access to templates and policies only
  • No minimum commitment - cancel anytime
  • Unused downloads do not carry over to the following month
  • Standard support response times

Lite subscribers may upgrade to Premium at any time to unlock unlimited downloads and full document access including contracts and handbooks.

7. Subscription Terms

Subscriptions provide access to documents and resources in The HR Vault with the following terms:

  • Lite subscription: £10/month - 10 downloads per month, templates and policies, cancel anytime
  • Premium subscription: £60/month - unlimited downloads, full document access, 12-month minimum commitment
  • Subscriptions automatically renew unless cancelled before the next billing cycle
  • To cancel your subscription, please contact us at hello@on-call.co.uk or use the cancellation form in your account settings
  • Cancellations take effect at the end of the current billing period
  • All prices are exclusive of VAT. From 1 May 2026, VAT will be charged at 20% on all subscription fees

8. Team Accounts (Premium Only)

Premium subscribers may invite colleagues within their organisation to access The HR Vault as team members.

Team Account Terms

  • The account owner (subscriber) is responsible for managing team member access
  • Team members receive full access to browse and download documents through the subscription
  • Team members must be employees or contractors of the same organisation as the account owner
  • The account owner remains responsible for ensuring all team members comply with these terms and conditions
  • Team member access is included at no additional cost
  • The team feature is available to Premium subscribers only - Lite subscribers must upgrade to invite team members

Account Owner Responsibilities

  • The account owner is solely responsible for all billing and subscription management
  • The account owner may add or remove team members at any time
  • The account owner is responsible for any misuse of documents by their team members
  • Upon subscription cancellation, all team members will lose access at the same time as the account owner

Team Member Restrictions

  • Team members cannot manage billing, subscription or other team members
  • Team members cannot transfer their access to others
  • Team member access is tied to the account owner's subscription - if the owner cancels, all team access is revoked

Prohibited Use

The team feature must not be used to:

  • Share access with individuals outside your organisation
  • Circumvent the need for separate subscriptions for unrelated businesses
  • Resell or commercially redistribute access to The HR Vault

HR On Call Ltd reserves the right to suspend or terminate accounts found to be abusing the team feature.

9. Password and Account Security

Your account login credentials are personal to you and must not be shared with others.

  • Password sharing is strictly prohibited
  • Each user must have their own account with unique login credentials
  • If you wish to provide access to colleagues, you must use the team member invitation feature (Premium subscribers only)
  • You are responsible for maintaining the confidentiality of your login credentials
  • Any activity that occurs under your account is your responsibility

HR On Call Ltd reserves the right to suspend or terminate accounts where password sharing or unauthorised access is detected.

10. Premium Subscriber Monthly Advice

Premium subscribers receive one 30-minute advice session per calendar month as part of their subscription. You can choose to receive this as either a Microsoft Teams call or written email advice.

Booking and Scheduling

  • All advice sessions must be booked through the booking page on The HR Vault
  • When booking, you select whether you want a Teams call or email advice
  • Teams calls require at least 24 hours advance notice
  • For email advice, send your query to hello@on-call.co.uk and you will receive a detailed written response within 3-5 working days
  • For Teams calls, you will receive a meeting link via email. Please ensure you are available at your scheduled time and in a suitable location for a confidential conversation

Monthly Allocation Terms

  • You receive one 30-minute advice session per calendar month
  • Unused sessions do not carry over to the following month
  • This support is non-transferable and for the use of the named subscriber only
  • Once a session is booked or used (whether fully or partially), that month's allocation is considered used

Cancellations and No-Shows

  • A minimum of 24 hours notice is required to cancel or reschedule a booked Teams call
  • Cancellations with less than 24 hours notice will count as your monthly allocation being used
  • Failure to be available for a scheduled Teams call will result in that month's allocation being marked as used

Nature of Advice

  • Advice is limited to general HR guidance and document usage support
  • All advice sessions are confidential
  • Advice does not constitute formal legal advice, legal representation or a solicitor-client relationship
  • If your query requires more than 30 minutes or involves complex matters requiring detailed investigation, formal representation, tribunal support or legal review, additional consultancy services can be arranged at standard rates
  • This support is available during normal business hours (Monday-Friday, 9am-5pm, excluding bank holidays)

Limitation of Liability

HR On Call Ltd accepts no liability for any loss, damage or legal claims arising from advice provided under this monthly advice service. By using this service, you acknowledge that you are seeking guidance only and that you remain responsible for decisions made based on this advice.

11. Refund Policy

Due to the nature of the digital products, HR On Call Ltd does not offer refunds once the documents have been downloaded or accessed.

If you encounter any issues with the documents or resources, please contact me at hello@on-call.co.uk and I will do my best to assist you.

12. 30-Day Money-Back Guarantee for New Premium Subscribers

New premium subscribers are eligible for a 30-day money-back guarantee from the date of their first subscription payment.

Eligibility

  • Available to first-time premium subscribers only
  • Must be requested within 30 days of initial subscription date
  • Not available to users who have previously held a premium subscription

Fair Usage Policy

The money-back guarantee is designed to allow genuine evaluation of the service. To qualify for a refund:

  • Downloads must not exceed 25 documents within the first 30 days
  • The service must not have been used in a manner suggesting bulk downloading rather than evaluation
  • Advice sessions may be used during the trial period

Excessive Usage

HR On Call Ltd reserves the right to refuse a refund if usage patterns indicate the guarantee is being abused rather than used for genuine evaluation purposes. This includes but is not limited to:

  • Downloading the majority of the vault's content within the first few days
  • Systematic downloading of entire categories
  • Use that suggests intention to cancel from the outset

Requesting a Refund

To request a refund under this guarantee:

  • Contact hello@on-call.co.uk within 30 days of your subscription start date
  • Provide your reason for requesting a refund (optional but helpful)
  • Refunds will be processed within 5-7 working days

Once a refund is issued, your premium access will be immediately revoked and your account will revert to free user status (browse-only, no downloads).

This guarantee does not affect your statutory rights.

13. Intellectual Property

All documents and resources in The HR Vault are protected by copyright and intellectual property laws.

You may not claim ownership of the documents or resources or use them in any way that violates the rights of HR On Call Ltd.

14. Limitation of Liability

HR On Call Ltd will not be liable for any loss, damage or legal claims arising from the use of the documents or resources in The HR Vault. While I strive to provide accurate and useful templates, I do not guarantee that they will be suitable for your specific needs or that they will comply with all current laws or regulations.

By using the documents and resources, you agree to accept full responsibility for their use and any potential consequences.

In no event shall HR On Call Ltd be held liable for any direct, indirect, incidental or consequential damages arising out of the use of the documents or resources.

15. AI Document Generation

The HR Vault includes an AI-powered document generation feature available to Premium subscribers. This feature uses artificial intelligence to assist in drafting HR documents based on your instructions.

Nature of AI-Generated Content

  • AI-generated documents are produced for guidance purposes only and do not constitute legal advice
  • All AI-generated content should be carefully reviewed, verified and where necessary adapted by a qualified professional before use
  • HR On Call Ltd does not guarantee the accuracy, completeness or legal compliance of any AI-generated document
  • You are solely responsible for reviewing and approving any AI-generated content before use in your business

Third-Party AI Processing

  • AI document generation is powered by Anthropic's enterprise API (Claude), a commercial AI service — this is not a consumer AI product
  • Where personal data about employees or third parties is entered, the relevant data controller (typically the client organisation for HR consultants, or your own organisation for in-house HR) retains responsibility for that data. HR On Call Ltd acts as data processor and Anthropic acts as sub-processor
  • Information you provide during AI conversations (including any uploaded documents) is sent to Anthropic for processing. Anthropic does not store your data beyond the immediate request, does not use it to train its AI models, and does not share it with third parties
  • If you input personal data about employees or third parties, you are responsible for ensuring there is a lawful basis for processing (such as a valid privacy notice) and that use of this feature complies with UK GDPR. For HR consultants, this means ensuring your client organisation has appropriate data processing arrangements in place
  • Conversation data is encrypted at rest on HR On Call Ltd's servers and automatically deleted in accordance with our data retention policy. Anthropic does not retain any data

Limitation of Liability for AI Content

HR On Call Ltd accepts no liability for any loss, damage or legal claims arising from the use of AI-generated documents. By using the AI document generation feature, you acknowledge that AI-generated content may contain errors or omissions and that you accept full responsibility for reviewing and using such content.

16. Privacy and Data Protection

We respect your privacy and are committed to protecting your personal data. Any personal information collected during the use of The HR Vault will be processed in accordance with our Privacy Notice.

17. Changes to Terms and Conditions

HR On Call Ltd reserves the right to update these terms and conditions at any time.

Any changes will be posted on this page and it is your responsibility to review them regularly. Continued use of the Service after any changes indicates your acceptance of the updated terms.

18. Governing Law

These terms and conditions are governed by and construed in accordance with the laws of England and Wales.

Any disputes relating to these terms will be subject to the exclusive jurisdiction of the courts of England and Wales.

19. Third Party Rights

A person who is not a party to this agreement shall have no rights under the Contracts (Rights of Third Parties) Act 1999 to enforce any term of this agreement. This does not affect any right or remedy of a third party which exists or is available apart from that Act.

These Terms and Conditions ("Terms") govern your use of Easy Audit, a service provided by HR On Call Ltd ("we", "us", "our", "the Company"). By subscribing to Easy Audit, you ("you", "your", "Client") agree to be bound by these Terms.

1. Service Description

1.1 Easy Audit is a web-based HR compliance audit tool designed for HR consultants and professionals.

1.2 The Service includes:

  • Access to the Easy Audit platform
  • Ability to create unlimited HR compliance audits
  • Customisable branding (logo and colours)
  • Multiple admin user accounts
  • Question and category management
  • File upload functionality
  • Automated email notifications via Brevo integration
  • Template system for different audit types
  • Export functionality

1.3 The Service is accessed via a subdomain provided by us (e.g., yourconsultancy.easyhraudit.co.uk).

2. Subscription and Payment

2.1 Free Trial

  • New customers receive a 14-day free trial period
  • Full access to all features during the trial
  • The trial automatically converts to a paid subscription unless cancelled

2.2 Subscription

  • Monthly subscription: £49 per month

2.3 Payment Processing

  • All payments are processed securely through Stripe
  • By subscribing, you authorise us to charge your payment method on a recurring basis
  • Subscription automatically renews unless cancelled

2.4 Price Changes

  • We reserve the right to change our pricing with 30 days' notice
  • Price changes will not affect your current billing cycle
  • Continued use of the Service after a price change constitutes acceptance of the new price
  • All prices are exclusive of VAT. From 1 May 2026, VAT will be charged at 20% on all subscription fees

3. Account Setup and Access

3.1 Following successful payment, you will be guided through a self-service setup wizard to configure your portal, including branding and admin account creation.

3.2 You are responsible for:

  • Maintaining the confidentiality of your admin login credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorised use

3.3 You may create multiple admin user accounts at no additional cost.

3.4 You must not share your login credentials with unauthorised individuals.

4. Your Responsibilities

4.1 Acceptable Use

You agree to use Easy Audit only for lawful purposes and in accordance with these Terms. You must not:

  • Use the Service to transmit any unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene or otherwise objectionable material
  • Attempt to gain unauthorised access to any part of the Service, other accounts, or computer systems
  • Interfere with or disrupt the Service or servers connected to the Service
  • Use the Service to send spam or unsolicited communications
  • Attempt to reverse engineer, decompile or otherwise extract the source code
  • Resell, sublicense or otherwise commercialise the Service without our written consent

4.2 Data Accuracy

You are responsible for the accuracy and legality of any data you input into the Service, including:

  • Audit questions and content
  • Client contact information
  • Uploaded files and documents

4.3 Brevo Integration

  • You must provide your own Brevo API key for email functionality
  • You are responsible for compliance with Brevo's terms of service
  • We are not responsible for email delivery failures caused by Brevo or your configuration

5. Our Responsibilities

5.1 Service Availability

  • We will use reasonable efforts to ensure the Service is available 24/7
  • We do not guarantee uninterrupted access and may suspend the Service for maintenance
  • We will provide reasonable notice of planned maintenance where possible

5.2 Data Security

  • We implement reasonable security measures to protect your data
  • Data is encrypted in transit and at rest
  • Regular backups are performed
  • However, no method of transmission over the internet is 100% secure

5.3 Support

  • Email support is included with your subscription
  • We aim to respond to support requests within 48 hours during business days (Monday-Friday, 9am-5pm GMT)
  • Support does not include custom development or consultation services

6. Intellectual Property

6.1 Our Rights

  • We retain all rights, title and interest in the Easy Audit software, including all intellectual property rights
  • These Terms do not grant you any rights to our trademarks, logos or brand

6.2 Your Rights

  • You retain all rights to the content you create within the Service (audit questions, responses, uploaded files)
  • We do not claim ownership of your data

6.3 Licence

  • We grant you a non-exclusive, non-transferable licence to use the Service during your active subscription
  • This licence terminates upon cancellation of your subscription

7. Data Protection and Privacy

7.1 We process personal data in accordance with UK GDPR and our Privacy Policy.

7.2 You are the data controller for any personal data of your clients that you process through the Service.

7.3 We act as a data processor when handling data you input into the Service.

7.4 You must ensure you have appropriate consent and legal basis to process any personal data through the Service.

7.5 We will not access, use or disclose your data except:

  • As necessary to provide the Service
  • To comply with legal obligations
  • With your explicit consent

7.6 You may request export or deletion of your data at any time.

8. Cancellation and Termination

8.1 Your Right to Cancel

  • You may cancel your subscription at any time through the Stripe Customer Portal
  • Cancellation takes effect at the end of your current billing period
  • You will retain access to the Service until the end of your paid period

8.2 Termination by Us

We may suspend or terminate your account immediately if:

  • You breach these Terms
  • Your payment fails and remains unpaid for 14 days
  • You engage in fraudulent or illegal activity
  • We are required to do so by law

8.3 Effect of Termination

Upon termination:

  • Your access to the Service will be revoked
  • We will retain your data for 30 days to allow you to export it
  • After 30 days, all data will be permanently deleted
  • No refunds will be provided for partial subscription periods

9. Refunds

9.1 The 14-day free trial allows you to evaluate the Service risk-free.

9.2 After the trial period, we do not offer refunds for:

  • Partial subscription periods
  • Change of mind
  • Failure to cancel before renewal

9.3 Refunds may be considered in exceptional circumstances at our sole discretion.

10. Limitation of Liability

10.1 To the maximum extent permitted by law, we shall not be liable for:

  • Any indirect, incidental, special, consequential or punitive damages
  • Loss of profits, revenue, data or business opportunities
  • Service interruptions or data loss
  • Actions or omissions of third parties (including Stripe or Brevo)

10.2 Our total liability to you for all claims arising from your use of the Service shall not exceed the amount you paid to us in the 12 months preceding the claim.

10.3 Nothing in these Terms excludes or limits our liability for:

  • Death or personal injury caused by our negligence
  • Fraud or fraudulent misrepresentation
  • Any liability that cannot be excluded by law

11. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, losses, liabilities and expenses (including legal fees) arising from:

  • Your use of the Service
  • Your breach of these Terms
  • Your violation of any law or regulation
  • Your violation of any third party rights
  • Content you submit through the Service

12. Changes to Terms

12.1 We may update these Terms from time to time.

12.2 We will notify you of material changes via email at least 30 days in advance.

12.3 Continued use of the Service after changes take effect constitutes acceptance of the new Terms.

12.4 If you do not agree to the changes, you must cancel your subscription.

13. Third Party Services

13.1 The Service integrates with third-party services including:

  • Stripe (payment processing)
  • Brevo (email delivery)

13.2 Your use of these third-party services is subject to their respective terms and conditions.

13.3 We are not responsible for the availability, functionality or policies of third-party services.

14. Warranties and Disclaimers

14.1 The Service is provided "as is" and "as available" without warranties of any kind.

14.2 We do not warrant that:

  • The Service will be uninterrupted or error-free
  • Defects will be corrected
  • The Service is free from viruses or harmful components
  • Results obtained from the Service will be accurate or reliable

14.3 We disclaim all implied warranties including merchantability, fitness for a particular purpose and non-infringement.

15. Force Majeure

We shall not be liable for any failure to perform our obligations under these Terms where such failure results from circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes or shortages of transportation, facilities, fuel, energy, labour or materials.

16. Assignment

16.1 You may not assign or transfer your rights or obligations under these Terms without our prior written consent.

16.2 We may assign or transfer our rights and obligations under these Terms to any third party without your consent, provided we give you 30 days' notice.

17. Entire Agreement

17.1 These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service.

17.2 These Terms supersede all prior agreements, understandings and communications, whether written or oral.

18. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

19. Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

20. Governing Law and Jurisdiction

20.1 These Terms shall be governed by and construed in accordance with the laws of England and Wales.

20.2 Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.

20.3 If you are a consumer, you may also bring proceedings in the courts of the country where you live.

21. Definitions

In these Terms:

  • "Service" means the Easy Audit platform and all related services
  • "We", "us", "our", "the Company" means HR On Call Ltd
  • "You", "your" means the individual or entity subscribing to the Service
  • "Account" means your Easy Audit subscription
  • "Content" means any data, text, files or other materials you submit through the Service

The Client Vault - Terms & Conditions

1. Agreement to Terms

By accessing or subscribing to The Client Vault, you agree to be bound by these terms and conditions. If you do not agree with any part of these terms, you should not use the Service.

2. Documents and Resources Included in the Service

The Client Vault is a white-label document platform that enables HR consultants to provide their clients with access to HR templates, guides, educational resources, toolkits and documents. These documents are provided in .docx and .dotx format and are compatible with various platforms including Microsoft Word and Google Docs.

Educational resources, toolkits and guides are provided for learning and reference purposes and are subject to the same licence terms as document templates.

3. Licence of Use

Upon subscribing to The Client Vault, you are granted a non-exclusive, non-transferable licence to:

  • Provide your clients with access to the documents and resources through your branded platform
  • Modify the documents to suit your specific business needs
  • Upload additional documents to your platform for your clients' use

The documents and resources may not be:

  • Resold as standalone products outside of The Client Vault platform
  • Shared or redistributed to other HR consultants or businesses
  • Provided to clients who are not registered users on your platform

You must not remove any copyright notices or claim ownership of the core documents or resources provided by HR On Call Ltd.

You are responsible for ensuring your clients understand that these documents do not constitute legal advice. If you or your clients require legal advice or have concerns about the legal implications of any document or policy, you should seek guidance from a qualified solicitor or legal professional.

You are responsible for reviewing documents before providing them to your clients and ensuring they are appropriate for your clients' specific circumstances.

6. Subscription Tiers

The Client Vault is available on the following subscription tiers:

  • Starter - £100/month: Up to 5 client accounts
  • Growth - £200/month: Up to 20 client accounts
  • Scale - £300/month: Unlimited client accounts

All tiers include custom branding, the full document library, regular legislative updates, secure hosting and technical support.

A one-time setup fee of £500 applies to all new subscriptions, covering custom branding configuration, platform setup, administrator training and client onboarding support.

HR On Call Ltd reserves the right to increase these prices with 30 days' written notice. All prices are exclusive of VAT. From 1 May 2026, VAT will be charged at 20% on all fees including subscription and setup costs.

7. Payment Terms

The setup fee of £500 and the first month's subscription will be invoiced prior to platform setup. Payment is required before your platform is configured and made live.

Subsequent monthly payments are invoiced in advance. Payment is due within 7 days of the invoice date.

Late payments will incur interest at a rate of 4% per month on the outstanding balance.

Payment can be made by bank transfer, card or Direct Debit. Direct Debit is available for ongoing monthly payments.

Failure to pay may result in suspension of your platform access.

8. Subscription Renewal and Cancellation

Subscriptions automatically renew on a rolling monthly basis unless cancelled.

To cancel your subscription, please provide 30 days' written notice to hello@on-call.co.uk. Cancellations take effect at the end of the notice period.

9. Termination and Access

Upon termination of your subscription:

  • Your platform access will be revoked immediately at the end of your notice period
  • Your clients will no longer be able to access the platform
  • Any documents uploaded by you to the platform will no longer be accessible
  • You will not be entitled to any refund of fees already paid

HR On Call Ltd reserves the right to terminate your subscription immediately if you breach these terms and conditions.

10. Tier Upgrades and Downgrades

You may request a tier upgrade at any time by completing the upgrade request form in your Admin dashboard. Upgrades take effect upon payment of the difference in subscription fees.

Tier downgrades may be requested with 30 days' notice and take effect at the start of the following billing period.

11. Your Responsibilities

As a Client Vault subscriber, you are responsible for:

  • Managing your client accounts and access
  • Ensuring your clients use the documents appropriately
  • Providing guidance to your clients on document usage where necessary
  • Maintaining the security of your administrator login credentials
  • Complying with data protection legislation in relation to your clients' data
  • Marketing and promoting your platform to your clients – HR On Call Ltd does not provide marketing services or client acquisition support
  • Establishing your own terms and conditions with your clients for their use of your platform
  • Ensuring you do not exceed your tier's client account limit

12. Custom Domain Setup

If you choose to use your own custom domain for your platform:

  • You are responsible for providing cPanel access or working with your web host to configure DNS settings
  • You are responsible for any costs associated with domain registration and hosting
  • HR On Call Ltd will provide guidance on the required DNS configuration but cannot be held responsible for delays or issues caused by third-party hosting providers
  • SSL certificates will be configured by HR On Call Ltd once DNS is correctly pointed

If you choose to use a subdomain of on-call.co.uk (e.g. yourcompany.on-call.co.uk), no technical setup is required from you.

13. Branding

Your platform will be configured with your custom branding, including:

  • Your company logo
  • Your brand colours
  • Your company name

You are responsible for providing high-quality logo files and colour specifications during the setup process. HR On Call Ltd reserves the right to request alternative assets if those provided are unsuitable for the platform design.

Branding must not include any content that is offensive, discriminatory, misleading or that infringes the intellectual property rights of others.

14. Optional Document Categories

During sign-up, you may select optional document categories to include on your platform. These categories cover more complex HR situations and are not included by default.

You may request changes to your selected optional categories at any time by contacting hello@on-call.co.uk.

You acknowledge that you are responsible for ensuring your clients understand when and how to use documents from optional categories, or for providing appropriate guidance alongside access.

15. Client Account Limits

Your subscription tier determines the maximum number of client accounts you can create:

  • Starter: Up to 5 client accounts
  • Growth: Up to 20 client accounts
  • Scale: Unlimited client accounts

If you reach your tier's client limit, you will not be able to add further client accounts until you upgrade to a higher tier.

16. Document Updates

HR On Call Ltd will periodically update core documents to reflect changes in UK employment law and best practice.

You will be notified by email when significant updates are made to the document library. It is your responsibility to review updates and communicate relevant changes to your clients where appropriate.

17. Support

Your subscription includes technical support for platform-related issues. Support is available via email at hello@on-call.co.uk during normal business hours (Monday to Friday, 9am to 5pm, excluding bank holidays).

We aim to respond to support queries within 2 working days.

Support does not include HR advice, legal guidance or advice on how to use specific documents – these services are available separately through HR On Call Ltd's consultancy services.

18. Platform Availability

HR On Call Ltd will use reasonable endeavours to ensure the platform is available 24 hours a day, 7 days a week.

However, we do not guarantee uninterrupted access and shall not be liable for any downtime caused by:

  • Scheduled maintenance (we will endeavour to provide advance notice)
  • Emergency maintenance required to protect the security or integrity of the platform
  • Factors outside our reasonable control

19. Intellectual Property

All core documents and resources in The Client Vault are protected by copyright and intellectual property laws and remain the property of HR On Call Ltd.

You may not claim ownership of the core documents or resources or use them in any way that violates the rights of HR On Call Ltd.

Documents you upload to your platform remain your intellectual property.

20. Limitation of Liability

HR On Call Ltd will not be liable for any loss, damage or legal claims arising from:

  • The use of the documents or resources in The Client Vault by you or your clients
  • Any advice or guidance you provide to your clients
  • Any modifications you make to the documents
  • Any documents you upload to your platform

While we strive to provide accurate and useful templates, we do not guarantee that they will be suitable for your specific needs or your clients' needs, or that they will comply with all current laws or regulations.

By using the Service, you agree to accept full responsibility for the use of the documents and resources and any potential consequences.

In no event shall HR On Call Ltd be held liable for any direct, indirect, incidental or consequential damages arising out of the use of the Service.

21. Indemnity

You agree to indemnify and hold harmless HR On Call Ltd from any claims, damages, losses or expenses (including legal fees) arising from:

  • Your use of The Client Vault
  • Your clients' use of documents accessed through your platform
  • Any breach of these terms and conditions by you

22. Data Retention and Termination

Upon termination of your subscription:

  • Your platform access will be revoked immediately at the end of your notice period
  • Your clients will no longer be able to access the platform
  • Any documents uploaded by you to the platform will be deleted within 30 days of termination
  • Client account data will be deleted within 30 days of termination
  • You will not be entitled to any refund of fees already paid

You are responsible for exporting any data you wish to retain prior to termination.

HR On Call Ltd reserves the right to terminate your subscription immediately if you breach these terms and conditions.

23. Force Majeure

HR On Call Ltd shall not be liable for any failure or delay in performing its obligations under these terms where such failure or delay results from circumstances beyond its reasonable control, including but not limited to:

  • Acts of God, natural disasters or extreme weather
  • War, terrorism or civil unrest
  • Government actions or regulations
  • Power failures or internet outages
  • Pandemic or epidemic

24. Privacy and Data Protection

HR On Call Ltd respects your privacy and is committed to protecting your personal data. Any personal information collected will be processed in accordance with our Privacy Policy.

You are responsible for complying with data protection legislation (including UK GDPR) in relation to any personal data you collect from your clients through the platform.

25. Severability

If any provision of these terms and conditions is found to be invalid, illegal or unenforceable by a court or other competent authority, such invalidity, illegality or unenforceability shall not affect the other provisions of these terms, which shall remain in full force and effect.

26. Entire Agreement

These terms and conditions, together with our Privacy Policy, constitute the entire agreement between you and HR On Call Ltd in relation to The Client Vault and supersede all prior discussions, negotiations, understandings or agreements between us, whether written or oral.

27. No Waiver

No failure or delay by HR On Call Ltd in exercising any right or remedy under these terms and conditions shall operate as a waiver of that right or remedy. No single or partial exercise of any right or remedy shall prevent any further or other exercise of that right or remedy or the exercise of any other right or remedy.

28. Changes to Terms and Conditions

HR On Call Ltd reserves the right to update these terms and conditions at any time.

Any changes will be communicated to you via email and it is your responsibility to review them. Continued use of the Service after any changes indicates your acceptance of the updated terms.

29. Governing Law

These terms and conditions are governed by and construed in accordance with the laws of England and Wales. Any disputes arising under or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

1. Agreement to Terms

By accessing or purchasing documents from HR On Call Ltd, you agree to be bound by these terms and conditions. If you do not agree with any part of these terms, you should not use the Service.

2. Documents and Resources Included in the Service

The HR Collection includes templates, guides, educational resources, toolkits and documents for use by HR professionals, businesses and consultants in the UK. These documents are provided in .docx and .dotx format and are compatible with various platforms including Microsoft Word and Google Docs.

Educational resources, toolkits and guides are provided for learning and reference purposes and are subject to the same licence terms as document templates.

3. Licence of Use

Upon purchasing access to The HR Collection, you are granted a non-exclusive, non-transferable licence to use the documents and resources for your business or personal HR consultancy purposes. The documents and resources may not be resold, shared or redistributed without permission.

You may modify the documents to suit your specific business needs but must not remove any copyright notices or claim ownership of the documents or resources.

4. No Legal Advice Provided

The documents and resources available in The HR Collection are for informational purposes only. They are intended as general templates and educational materials to assist in HR functions and are not a substitute for legal advice.

If you require legal advice or have concerns about the legal implications of any document or policy, you should seek guidance from a qualified solicitor or legal professional. HR On Call Ltd can provide advice at an additional cost.

5. Document Accuracy and Updates

While every effort is made to ensure that the documents and resources are accurate and compliant with current UK employment law, laws and regulations are subject to change. HR On Call Ltd cannot guarantee that the documents will always be up to date.

You are responsible for ensuring that the documents are updated and compliant with the latest legal requirements for your business.

6. Subscription Terms

Subscriptions provide full access to all documents and resources in The HR Collection with the following terms:

  • Monthly subscriptions: £100/month (subject to a minimum 12-month commitment period)
  • Annual subscriptions: £1,000/year
  • Subscriptions automatically renew unless cancelled before the next billing cycle
  • To cancel your subscription, please contact us at hello@on-call.co.uk or use the cancellation form in your account settings
  • Cancellations take effect at the end of the current billing period
  • All prices are exclusive of VAT. From 1 May 2026, VAT will be charged at 20% on all subscription fees

7. Team Accounts

Subscribers may invite colleagues within their organisation to access The HR Collection as team members.

Team Account Terms

  • The account owner (subscriber) is responsible for managing team member access
  • Team members receive full access to browse and download documents through the subscription
  • Team members must be employees or contractors of the same organisation as the account owner
  • The account owner remains responsible for ensuring all team members comply with these terms and conditions
  • Team member access is included at no additional cost

Account Owner Responsibilities

  • The account owner is solely responsible for all billing and subscription management
  • The account owner may add or remove team members at any time
  • The account owner is responsible for any misuse of documents by their team members
  • Upon subscription cancellation, all team members will lose access at the same time as the account owner

Team Member Restrictions

  • Team members cannot manage billing, subscription or other team members
  • Team members cannot transfer their access to others
  • Team member access is tied to the account owner's subscription - if the owner cancels, all team access is revoked

Prohibited Use

The team feature must not be used to:

  • Share access with individuals outside your organisation
  • Circumvent the need for separate subscriptions for unrelated businesses
  • Resell or commercially redistribute access to The HR Collection

HR On Call Ltd reserves the right to suspend or terminate accounts found to be abusing the team feature.

8. Password and Account Security

Your account login credentials are personal to you and must not be shared with others.

  • Password sharing is strictly prohibited
  • Each user must have their own account with unique login credentials
  • If you wish to provide access to colleagues, you must use the team member invitation feature
  • You are responsible for maintaining the confidentiality of your login credentials
  • Any activity that occurs under your account is your responsibility

HR On Call Ltd reserves the right to suspend or terminate accounts where password sharing or unauthorised access is detected.

9. Refund Policy

Due to the nature of the digital products, HR On Call Ltd does not offer refunds once the documents have been downloaded or accessed.

10. 30-Day Money-Back Guarantee for New Subscribers

New subscribers are eligible for a 30-day money-back guarantee from the date of their first subscription payment.

Eligibility

  • Available to first-time subscribers only
  • Must be requested within 30 days of initial subscription date
  • Not available to users who have previously held a subscription

Fair Usage Policy

The money-back guarantee is designed to allow genuine evaluation of the service. To qualify for a refund:

  • Downloads must not exceed 25 documents within the first 30 days
  • The service must not have been used in a manner suggesting bulk downloading rather than evaluation

Excessive Usage

HR On Call Ltd reserves the right to refuse a refund if usage patterns indicate the guarantee is being abused rather than used for genuine evaluation purposes. This includes but is not limited to:

  • Use that suggests intention to cancel from the outset

Requesting a Refund

Handbook Portal - Terms & Conditions

1. Introduction

1.1 By subscribing to Handbook Portal (the "Service"), you (the "Client") agree to comply with these terms and conditions ("Terms").

1.2 These Terms govern your access to and use of Handbook Portal, provided by HR On Call Ltd ("the Company").

2. Service Description

2.1 Handbook Portal is an online platform for hosting and managing employee handbooks.

2.2 The Service includes:

  • Branded online handbook with the Client's logo and colours
  • Ability to update policies instantly
  • Employee access from any device
  • Searchable content
  • Website hosting and technical maintenance

3. Subscription and Payment

3.1 The subscription fee for Handbook Portal is £40 per month.

3.2 Payment is processed via Stripe on a monthly recurring basis.

3.3 The Client is responsible for ensuring valid payment details are maintained.

3.4 Failed payments will result in suspension of the Service until payment is received.

3.5 All fees are exclusive of Value Added Tax (VAT). From 1 May 2026, VAT will be charged at 20% on all subscription fees.

4. Setup and Onboarding

4.1 Following payment, the Company will contact the Client within 2 working days to arrange setup.

4.2 The Client is responsible for providing:

  • Company logo and branding details
  • Handbook content and policies

4.3 The Company will complete technical setup within 24 hours of receiving complete information from the Client.

5. Service Levels

5.1 The Company commits to 99% uptime for Portal hosting (excluding scheduled maintenance).

5.2 Scheduled maintenance will be notified at least 48 hours in advance where possible.

5.3 Technical support queries will receive a response within 48 hours during business days (Monday-Friday, 9am-5pm GMT).

6. Client Responsibilities

6.1 The Client is responsible for:

  • Uploading and editing handbook content
  • Ensuring all policies comply with applicable laws and regulations
  • Managing employee access to the handbook
  • Keeping content accurate and up to date

6.2 The Company accepts no responsibility for the content, accuracy, legality or compliance of any policies uploaded by the Client.

7. Intellectual Property

7.1 The Client's handbook content remains the property of the Client.

7.2 All Intellectual Property Rights in the Handbook Portal platform remain the exclusive property of the Company.

8. Data and Privacy

8.1 The Company will process data in accordance with applicable data protection laws.

8.2 The Client is responsible for ensuring they have appropriate consents to share any personal data uploaded to the Service.

8.3 Upon termination, handbook content can be exported by the Client or will be deleted within 30 days.

9. Cancellation

9.1 The Client may cancel their subscription at any time by providing written notice to hello@on-call.co.uk.

9.2 Cancellation will take effect at the end of the current billing period.

9.3 No refunds will be provided for partial months.

9.4 Upon cancellation, the Client's handbook will remain accessible for 30 days to allow content export or transition.

10. Termination

10.1 The Company may terminate the Service with immediate effect if the Client breaches these Terms.

10.2 The Company may discontinue the Service with 30 days written notice.

11. Limitation of Liability

11.1 The Service is provided "as is" and the Company makes no warranties regarding its suitability for any particular purpose.

11.2 The Company shall not be liable for any loss of earnings, business or profit resulting from use of the Service.

11.3 The Company shall not be liable for any legal action, claims, penalties or damages arising from the Client's handbook content.

11.4 The Company's total liability under these Terms shall not exceed the subscription fees paid by the Client in the 12 months preceding the claim.

12. Price Changes

12.1 The Company reserves the right to adjust pricing with 60 days written notice.

12.2 The Client may cancel without penalty within 14 days of receiving notice of a price increase.

13. General

13.1 These Terms shall be governed by the laws of England and Wales.

13.2 Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

13.3 Neither party shall be liable for failure to perform obligations due to circumstances beyond their reasonable control.

13.4 The Company may update these Terms from time to time. Continued use of the Service constitutes acceptance of updated Terms.
